The BTS Model

Built-to-suit transactions involve three parties with distinct objectives: a corporate occupier requiring specific facility specifications, a landowner willing to lease or sell land, and a developer who constructs the facility to occupier requirements.

magickeys structures these arrangements, coordinates between parties, and advises on risk allocation. We do not take construction risk, act as developers, or guarantee delivery timelines. Our role is advisory: structuring legal and commercial terms, identifying suitable counterparties, and guiding the occupier through the process.

Fee Structure

BTS advisory is billed on a success fee basis, calculated as a percentage of the lease value or land transaction value, depending on the structure. We charge the occupier (if representing the occupier) or the landowner (if representing the landowner). We do not charge both sides.

Occupier Representation

2-4% of total lease value (NPV basis) or 1-2% of land purchase value, depending on transaction complexity and development timeline.

Landowner Representation

1-3% of land lease value or sale consideration, with milestone-based payment aligned to developer delivery and occupier handover.
